A legal update in which we review key points from the District Court decision in the ‘Better Place’ matter in which, for the first time in Israel, a court summarily dismissed a claim against directors and office holders based on the Business Judgement Rule defense.
In its decision, the Court decided on a series of questions which arise from the adoption of the Business Judgement Rule in Israeli law: the scope of its application on individuals; the type of decisions to which the rule applies; the interpretation of the conditions for the operation of the rule; and the procedural stage at which the application of the business judgement rule will be carried out.
