FBC represented J.P. Morgan Securities plc and HSBC Bank plc as Joint Global Coordinators, and Leader Underwriters Ltd. as Israeli Underwriter, in the unique and innovative initial public offering of Tamar Petroleum Ltd.
The equity offering was the first offering of its kind, which combined a public offering in Israel, an offering in the United States in reliance on Rule 144A and an offering in Europe and other jurisdictions in reliance on Regulation S.
FBC’s role as underwriter counsel far exceeded the typical role of local counsel, and included in depth involvement in the structuring of the offering, including discussions with the Israel Securities Authority on the structure of the offering and unique exemptions from the Israel Securities Authority intended to facilitate the participation of non-Israeli investors in the offering.
Latham & Watkins acted as international counsel for the Joint Global Coordinators, and Davis Polk & Wardwell acted as international counsel for the issuer.
